Definitions

  • Platform: The website that provides booking services to customers for various tourism and entertainment services.
  • Customer: Any individual who makes a booking through the platform for any service or product.
  • Annual Subscription Fee: The amount paid by the service provider to the platform annually based on the selected package to enable them to list their services on the platform.
  • Package: The subscription level chosen by the service provider, which determines the extent of services and benefits provided by the platform.
  • Agreement: These terms and conditions governing the relationship between the platform and the service provider.

Scope of the Agreement

  • Acceptance of Terms: By using the platform and offering services through it, the service provider agrees to comply with all the terms and conditions stated herein.
  • Amendment of Terms: The platform reserves the right to modify these terms and conditions from time to time. The service provider will be notified of any amendments, and continued use of the platform following the amendments constitutes acceptance of the modified terms.

Responsibilities of the Service Provider

Accurate and Updated Information

  • Providing Information: The service provider must provide accurate and complete information about their services, including descriptions, amenities, prices, availability, and images.
  • Continuous Updates: The service provider is responsible for regularly updating their information on the platform to ensure the accuracy of the information provided to customers.

Availability and Commitment to Bookings

  • Service Availability: The service provider must ensure the availability of the services listed on the platform and not offer services that are unavailable.
  • Commitment to Bookings: The service provider agrees to fulfill all confirmed bookings and provide the services as described, without any changes.

Customer Service

  • Responding to Inquiries: The service provider must respond to customer inquiries promptly and professionally.
  • Handling Complaints: The service provider agrees to address any complaints or issues faced by customers seriously and promptly.

Compliance with Laws and Regulations

  • Licenses and Permits: The service provider guarantees that they hold all necessary legal licenses and permits to offer their services.
  • Compliance with Local Laws: The service provider agrees to comply with all applicable laws and regulations in their field of operation, including health, safety, and consumer protection laws.

Quality and Standards

  • Service Standards: The service provider agrees to provide high-quality services that meet professional standards and customer expectations.
  • Maintenance and Safety: The service provider ensures that all facilities and equipment used in providing the service are safe and regularly maintained.

Subscription Fees and Packages

Package Selection

  • Available Packages: The platform offers several subscription packages with different benefits. The service provider must select the package that best meets their needs.
  • Subscription Duration: The subscription duration is annual, starting from the account activation or renewal date.

Subscription Fees

  • Prepayment: The service provider agrees to pay the full annual subscription fee upfront when selecting a package.
  • No Commissions: The platform will not charge any commissions or percentages on bookings made through it.

  • Booking Confirmation: Upon receiving a booking from the customer, the service provider must confirm the booking as soon as possible.
  • Communicating with Customers: The service provider may communicate with customers to arrange details and fulfill any special requests.

Payments from Customers

  • Direct Payment: Payments are made directly from the customers to the service provider according to the payment terms specified in the listing.
  • Cancellation and Refund Policies: The service provider must clearly specify their cancellation and refund policies in their listings and adhere to them.

Changes or Cancellations by the Service Provider

Avoiding Overbooking

  • Availability Accuracy: The service provider must immediately update availability to avoid overbooking.
  • Overbooking Responsibility: In the event of overbooking, the service provider is responsible for finding an alternative solution for the customer at no additional cost.

Cancellations and Modifications

  • Notifying the Platform and Customer: If a booking needs to be canceled or modified, the service provider must notify the platform and the customer immediately, explaining the reasons.
  • Providing Alternatives: The service provider must offer suitable alternatives to meet the customer's needs or refund the full amount paid.

Liability and Insurance

Service Responsibility

  • Service Quality: The service provider is fully responsible for the quality of the services provided and for any failure or defects.
  • Compensation for Damages: If the customer suffers any damage due to the service provider's negligence or failure, the service provider will be liable for compensation.

Insurance

  • Liability Insurance: The service provider must obtain liability insurance that covers third-party liabilities.
  • Property Insurance: It is recommended that the service provider has insurance that covers damages to their property.

Data Protection and Privacy

Compliance with Data Protection Laws

  • Customer Data Protection: The service provider agrees to protect the confidentiality of customer information and use it only for service purposes.
  • Unauthorized Disclosure: The service provider is prohibited from sharing customer data with any third party without the explicit consent of the customer.

Privacy Policies

  • Compliance with Platform Policy: The service provider must comply with the platform's privacy policy.
  • Reporting Breaches: In the event of a security breach or customer data violation, the service provider must immediately notify the platform and take the necessary actions.

Intellectual Property Rights

Use of Trademarks

  • Limited License: The platform grants the service provider a non-exclusive license to use its trademark for marketing purposes only for the listings on the platform.
  • Restrictions: The service provider is prohibited from using the platform's trademarks in any manner that may mislead customers or violate the platform's rights.

Service Provider Content

  • Copyright: The service provider guarantees that all content provided to the platform (texts, images, videos) is original or they have the legal right to use it.
  • Platform License: The service provider grants the platform the right to use, reproduce, and distribute the content for the purposes of operating and promoting the platform.

Termination and Service Suspension

Termination by the Platform

  • Termination Reasons: The platform reserves the right to terminate the agreement or suspend the service provider's account immediately in the event of any breach of these terms and conditions, providing misleading information, or receiving serious customer complaints.
  • Termination Notice: The platform will notify the service provider of the termination decision, explaining the reasons.

Termination by the Service Provider

  • Prior Notice: The service provider may terminate the agreement with a written notice of 30 days.
  • Ongoing Obligations: The service provider remains obligated to fulfill all confirmed bookings made before the termination date.

Indemnities and Liability Limitations

Indemnifying the Platform

  • Compensation for Damages: The service provider agrees to indemnify the platform for any losses, damages, or costs arising from their breach of this agreement or from any third-party claims.

Limitation of Liability

  • No Liability: The platform will not be held liable for any direct or indirect losses or damages arising from the service provider's dealings with customers.

Governing Law and Dispute Resolution

Governing Law

  • Jurisdiction: This agreement is governed and construed in accordance with the laws of the Kingdom of Saudi Arabia.

Dispute Resolution

  • Amicable Negotiations: The parties will attempt to resolve any dispute arising from this agreement amicably.
  • Arbitration: If an amicable resolution is not reached, the dispute will be referred to arbitration in accordance with the laws and regulations of Saudi Arabia.

General Provisions

Force Majeure

  • No Liability: Neither party will be held liable for any delay or failure in performance due to events beyond their control, such as natural disasters, wars, or pandemics.

No Waiver

  • Continuity of Terms: Failure to enforce any right or provision of this agreement does not constitute a waiver of that right or provision.

Severability

Communication and Notices

  • Contact Information: The service provider must update their contact information to ensure the receipt of all notices from the platform.
  • Notice Methods: Notices sent via email or through the service provider's account on the platform are considered valid and legal.
